Terms of Service

These Terms of Service ("Terms") govern your use of the Luzardo mobile app and related services (the "Service"), provided by Luzardo Technologies, Inc., a Delaware corporation doing business as Luzardo ("Luzardo", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you use the Service for a ranch, business or other organization, you agree on its behalf and confirm you have the authority to do so.

1. The Service

Luzardo helps ranchers keep herd records and estimate cattle weight from photos. Weight estimates are produced by a computer vision model on your device. They are estimates, not measurements, and can be wrong. Do not rely on them alone for sales, dosing, veterinary or other decisions where an exact weight matters; use a calibrated scale for those.

2. Accounts

• You need an account to use the Service. Keep your sign-in details secure and tell us at info@luzardo.tech if you believe your account has been used without permission.
• A ranch can have several members. Ranch administrators manage the ranch, its members and, where it applies, its subscription.
• You must be at least 16 years old to use the Service.

3. Subscriptions and billing

Paid subscriptions are available to ranches in the United States. Where a subscription applies:

• Price. The subscription is charged per live head of cattle on the ranch, per month, at the price shown before you subscribe. "Live head" means cattle recorded on the ranch in the Service that have not been marked as removed (sold, dead or culled).
• Quantity. We update the number of head on your subscription automatically from your herd records. Changes apply to the next monthly charge; we do not prorate or refund partial months for changes during a month.
• Payment. Subscriptions are billed monthly in advance through our payment processor, Stripe. You authorize us to charge your payment method each month until you cancel. Sales tax is added where required by law.
• Renewal and cancellation. Your subscription renews every month until you cancel. You can cancel at any time from Settings, Billing, Manage billing in the app. Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Refunds. Charges are non-refundable, except where required by law or where we charged you in error (for example, a duplicate subscription), in which case we refund the erroneous charge.
• Failed payments. If a payment fails, we retry it over about two weeks and email you so you can update your payment method. If it still has not succeeded, the subscription is canceled.
• Price changes. We will give you at least 30 days' notice by email or in the app before a price change takes effect. If you do not agree, you can cancel before it applies.

4. Your data

• You own the herd records, photos and other content you put into the Service ("Your Data").
• You give us permission to store, process and display Your Data to provide and support the Service, and as described in our Privacy Policy, including the use of de-identified photos to improve our weight estimation models.
• You can delete your account from Settings in the app. Deletion removes your account and your ranch's data as described in the Privacy Policy.

5. Acceptable use

You agree not to misuse the Service, including by: accessing it other than through the app or interfaces we provide; interfering with or disrupting it; attempting to gain unauthorized access to other accounts or our systems; reverse engineering it except where the law allows; or using it to break the law or infringe anyone's rights.

6. Our rights

The Service, including the app, models and software, belongs to Luzardo and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. We may change, add or remove features. If we discontinue a paid Service, we will stop charging for it and refund any amount paid for the period after it ends.

7. Suspension and termination

You can stop using the Service at any time. We may suspend or end your access if you materially breach these Terms or if required by law, with notice where reasonably possible. Sections 4, 8, 9 and 10 continue to apply after termination.

8. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service or its weight estimates will be accurate, uninterrupted or error-free.

9. Limitation of liability

To the fullest extent permitted by law, Luzardo will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, livestock value or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose.

10. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, unless the law where you live requires otherwise.

11. Changes to these Terms

We may update these Terms. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.
